CONSTITUTION

Name:

Directory and Book Services (DABS)

DABS is a privately owned business and the owner may go into partnership with any other group or individual that shares the following aims:

 

DABS aims to:

Promote the understanding and awareness of abuse and sexual violence to society

Help victims and their supporters whether affected directly or indirectly

Assist all bona fide organisations, volunteers and professionals working in these fields

Be financially self-supporting

 

Powers:

DABS will be run in a professional way and raise money by developing and selling services.

DABS may employ staff, contract out work to self-employed or other commercial businesses and may recruit volunteers.

DABS may terminate employment, end contracts and the engagement of volunteers according to the law at the discretion of the owner.

DABS may work in partnership with organisations, groups and individuals

DABS may buy or rent premises and/or equipment

DABS may conduct ethical and relevant research and development

DABS may earn money through the sale of its goods and services. DABS may also receive grants and donations from funding groups and organisations

DABS may do anything else within the law and according to its aims to reach the group’s objectives

DABS may introduce a membership structure with its own constitution and management committee; nevertheless ultimate control remains with the owner of the business

 

Finance:

It is not the intention of DABS to make large profits but any profits made will be used to:

 

Recover the cost of purchasing the business

Meet the costs and expenses incurred

Improve the service

Fairly remunerate the owner, staff and contractors according to the value added to the service

Meet reasonable personal expenses

Build up a reasonable financial resource as a contingency fund 

DABS will have at least one current and one deposit bank account. The signatories will be the owner, a director and may include partners and others as joint signatories

Full accounts will be submitted annually to an independent Accountant and personal income declared to Her Majesty’s Revenue and Customs (HMRC)

 

Dissolution:

DABS may be sold or closed by the owner at any time in the same way as any other business according to the law

Any monies received as grants and donations from funding groups and organisations within the past six years will be returned

 

Amendments to the constitution:

The constitution may be amended in any way and at any time by the owner.  Any such changes will be notified to partners, members, volunteers, other organisations and businesses that provide services dependant on acceptance of the constitution
